　　ThePartiesarepreparedtoexchangecertainconfidentialandproprietaryinformationinconnectionwiththeTransactionandagreetotreatsuchinformationwhetherprovidedbefore,onorafterthedateofthisAgreementandirrespectiveofwhetherthecommunicationismadeorallyorinwriting,asconfidentialinaccordancewiththeprovisionsofthisAgreement(the“ConfidentialInformation”).

　　EitherPartymayelectatanytimetoterminatefurtheraccessbytheotherPartytoConfidentialInformation.ThePartiesagreethatuponanysuchtermination,eachPartywillpromptlyreturntotheotherPartyallConfidentialInformationexceptNotes,causeallNotestobedestroyed,andconfirminwritingtotheotherPartythatallsuchmaterialhasbeenreturnedordestroyedincompliancewiththisAgreement.NosuchterminationwillaffecttheParties’obligationshereunderorthoseoftheirRepresentatives,allofwhichobligationsshallcontinueineffectforthetermofthisAgreement.
