　　Notwithstandingtheuseofseparatecontractsforincountry(Onshore)andoutofcountry(Offshore),itistheparties’intentionthattheContractsshallbecoordinatedrelativetotheindependentandcomplimentaryscopesofwork,andthisagreementisintendedtofurtherclarifytherespectiveresponsibilitiesandliabilities,andincertainrespectsbothcontractsshallbeconstruedandshalloperateasiftherewereonlyasinglelumpsumpricecontractunderwhichalloftheWorkisperformed.ThisUmbrellaLetterAgreementsetsforthcertainunderstandingsinrespectoftreatingtheOffshoreSubcontractandOnshoreSubcontractasiftherewereonlyoneagreementforpurposesofobligationsandliabilitiesofthepartieshereunderanddoesnotamendormodifytheContracts,exceptforexpressingsuchintentionanddealingwithspecificmattersnotcoveredintheContracts.
