　　9.ThisAgreementshallinuretothebenefitofandbebindingupontherespectivesuccessorsandpermittedassigns(includingsuccessive,aswellasimmediate,successorsandassigns)ofeachpartyhereto;provided,however,thathisAgreement,andtherightsandobligationsofthepartieshereunder,maynotbeassignedbyeitherpartywithouttheexpresswrittenconsentoftheotherparty.

　　10.Eachpartyagreesthatnofailureordelaybytheotherinexercisinganyright,powerorprivilegehereunderwilloperateasawaiverthereofortheexerciseofanyotherright,powerorprivilegehereunder.

　　11.TheprovisionsofthisAgreementmaybemodifiedorwaivedonlybyaseparatewritingsignedbythepartiesheretoexpresslysomodifyingorwaivingsuchprovisions.

　　12.ThisAgreementshallbegovernedby,andconstruedinaccordancewith,theinternalsubstantivelawsoftheStateofOhio,withoutregardtoconflictsoflawsprinciples.

　　13.ThisAgreementmaybeexecutedinseparatecounterparts,allofwhichconsideredtogethershallconstituteasingleinstrument.

　　INWITNESSWHEREOF,theparties,bytheirdulyauthorizedofficers,haveexecutedthisAgreementasofthedatefirstabovewritten.
